S-Corp?

此外,符合資格的 S-Corp 也可能搭配加州 PTE Tax(Pass-Through Entity Elective Tax)進行州稅務規劃。

  • $800 Minimum Franchise Tax
  • LLC Fee
  • S-Corp
  • PTE Tax

Navigating California’s $800 Minimum Franchise Tax: What New LLC Owners Need to Know

De-Risking Entity Formation: Strategic Mastery of California’s $800 Minimum Franchise Tax Floor

For ambitious California founders, real estate investors, and enterprise leaders establishing new Limited Liability Companies (LLCs), launching a business entity is often celebrated as a milestone of operational growth. However, in California, corporate entity registration brings an immediate, non-negotiable tax obligation: the California Franchise Tax Board (FTB) mandatory $800 annual minimum franchise tax floor. Treating this fee as a minor administrative formality exposes new enterprise balance sheets to premature tax drag, unexpected underpayment penalties, and administrative entity suspension.

Navigating California’s statutory entity matrix requires moving from passive compliance to an offensive financial planning framework. By precision-calibrating formation timing, statutory tax due dates, and entity classification choices, business leaders can protect starting capital, maintain good legal standing, and build an audit-proof corporate foundation.

Decoding the Statutory Mechanics of California Entity Taxes

California enforces a multi-tiered entity tax regime that applies regardless of profitability, cash flow, or operational activity. New LLC owners must master three critical statutory rules governing state tax compliance:

  • The Mandatory $800 Minimum Tax Floor (Cal. Rev. & Tax. Code §17941): Every LLC organized, registered, or doing business in California owes the annual $800 minimum tax. While temporary legislative relief provided first-year exemptions for entities formed between 2021 and 2023, new LLCs organized in 2026 are fully subject to the $800 annual tax starting in their very first taxable year. Inactivity, operating at a net loss, or generating zero gross revenue does not grant exemption.
  • The 3.5-Month First-Year Payment Trajectory (Cal. Rev. & Tax. Code §23153): Unlike federal estimated tax schedules that spread payments quarterly across the calendar year, California mandates that an LLC's first-year $800 minimum tax payment is due by the 15th day of the 4th month after filing Articles of Organization with the Secretary of State. For an LLC formed on January 1st, the payment is due April 15th. However, for an entity formed late in a calendar year, a short taxable year (even 15 days) triggers a full $800 tax liability payable almost immediately.
  • The LLC Gross Receipts Fee Layer (Cal. Rev. & Tax. Code §17942): In addition to the $800 base floor, pass-through LLCs earning $250,000 or more in total California gross receipts owe a graduated fee ranging from $900 up to $11,790 for entities grossing $5,000,000 or more. Because this fee applies to gross top-line turnover rather than net income, fast-growing, low-margin enterprises face severe, artificial margin erosion.

Strategic Arbitrage: Formation Timing and S-Corporation Integration

To optimize entity tax liabilities, founders must align structural registration with strategic fiscal timing. Registering a new California LLC in late November or December without filing a 15-day short-year exception creates an immediate $800 tax bill for a few weeks of existence, followed by a second $800 bill due the following April. Delaying official Secretary of State registration to January 1st preserves $800 in immediate liquidity.

Furthermore, as net operating profits surpass $100,000, LLC owners should evaluate electing S-Corporation tax status under IRC Section 1362. While an S-Corporation still pays California’s $800 minimum tax (or a 1.5% tax on net corporate income under Cal. Rev. & Tax. Code §23802), it completely eliminates the LLC gross receipts fee under Cal. Rev. & Tax. Code §17942. Concurrently, owners decouple distributions from 15.3% FICA self-employment taxes (IRC Section 1401) and execute Assembly Bill 150 Pass-Through Entity (PTE) tax elections (Cal. Rev. & Tax. Code §19900), converting state tax liabilities into fully deductible federal business expenses under IRC Section 162.

Consider a new California logistics LLC generating $1,200,000 in gross revenue and $300,000 in net profit. As a standard LLC, the business owes the $800 minimum tax plus a $3,470 gross receipts fee, while the owner pays 15.3% self-employment tax on the entire $300,000 profit. Transitioning to an S-Corporation structure eliminates the $3,470 gross receipts fee, locks payroll taxes strictly to a reasonable W-2 salary, and unlocks federal PTE tax deductions—preserving over $22,000 in direct annual liquidity.

At Linck Consulting Inc., John Lin, CPA constructs custom entity architectures that optimize formation timing, eliminate statutory fee drag, and integrate multi-tiered state tax shelters. This structural rigor ensures your new business remains a lean engine for enterprise wealth.
