其中,SIMPLE IRA(Savings Incentive Match Plan for Employees)之所以受到中小企業關注,原因就在於它的制度相對簡單,企業可以透過雇主供款,增加員工的退休福利,同時控制公司的行政負擔。

SIMPLE IRA

SIMPLE IRA

Employer Matching Essentials: The Financial Mechanics Behind Establishing a SIMPLE IRA

Optimizing Corporate Liquidity: The Strategic Mechanics of SIMPLE IRA Employer Matching

For growing California middle-market enterprises, tech boutiques, and closely held corporate firms employing under 100 workers, providing a competitive retirement package is essential to attract and retain elite executive talent. However, traditional 401(k) plans introduce heavy administrative overhead, mandatory Form 5500 filings, and complex non-discrimination testing (ADP/ACP) that frequently restricts owner-employee deferrals. Under IRC Section  408(p), the Savings Incentive Match Plan for Employees (SIMPLE) IRA provides a low-overhead alternative that bypasses ERISA non-discrimination rules entirely while delivering immediate corporate tax deductions.

Unlocking the full financial value of a SIMPLE IRA requires moving beyond viewing the employer match as a compliance cost. Under the SECURE 2.0 Act, corporate leaders can deploy structured employer matching formulas, leverage 10% non-elective contribution expansions, and integrate California Pass-Through Entity (PTE) tax offsets to convert corporate payroll allocations into high-yield executive wealth shelters.

Navigating Employer Contribution Formulas and SECURE 2.0 Arbitrage

Employer contribution rules under IRC Section 408(p) mandate specific contribution options that offer distinct financial and cash-flow trade-offs:

  • The Mandatory 3% Dollar-for-Dollar Match (IRC Section  408(p)(2)(A)): Employers match employee elective deferrals dollar-for-dollar up to 3% of total compensation. Unlike 401(k) plans, the 3% match in a SIMPLE IRA is not capped by the statutory compensation limit ($360,000 for 2026), providing substantial deduction leverage for high-earning executives. Employers may temporarily reduce the match to 1% for up to 2 years within any 5-year rolling window during cash-flow lean years.
  • Enhanced 4% Matching or 3% Non-Elective Options: Under SECURE 2.0, employers with 25 or fewer employees (or qualifying employers with 26–100 employees that increase overall contributions) can elect an enhanced 4% matching contribution or a 3% non-elective baseline. This unlocks higher employee deferral limits ($18,100 base for 2026) while expanding corporate tax deduction capacity.
  • 10% Additional Non-Elective Contributions (IRC Section 404(a)(8)): SECURE 2.0 empowers employers to make uniform, non-elective contributions above standard formulas up to an additional 10% of employee compensation (capped at $5,300 per participant for 2026). These contributions are 100% tax-deductible corporate expenses that vest immediately.

Capturing Structural Alpha: California PTE Tax Synergy and Balance Sheet Impact

For California S-Corporations and LLCs, structuring SIMPLE IRA matching payments creates a dual-tier tax offset. Employer match and non-elective payments reduce corporate net operating income before calculating California’s 1.5% S-Corporation tax under Cal Rev & Tax Code S23802.

Concurrently, business owners executing Assembly Bill 150 Pass-Through Entity (PTE) tax elections under Cal Rev & Tax Code S19900 pay a 9.3% entity-level state tax on remaining qualified net income. Deducting state payments at the corporate level under IRC Section 162 bypasses the federal $10,000 State and Local Tax (SALT) deduction cap.

Consider a California software enterprise with 18 employees generating $1,800,000 in net taxable pass-through income. The founder earns a $300,000 W-2 salary and defers the $18,100 maximum. By selecting a 3% matching contribution ($9,000) alongside a 10% additional non-elective contribution ($5,300) for the founder, the company allocates $14,300 directly to the executive's account. Across the entire payroll, the business deducts over $55,000 in combined employer contributions under IRC Section 404.

At top combined federal and California marginal tax rates exceeding 50%, this structure preserves over $27,500 in direct cash flow while building fully vested, ERISA-protected personal wealth.

At Linck Consulting Inc., John Lin, CPA aligns employer SIMPLE IRA matching formulas with executive W-2 payroll calibration, SECURE 2.0 expansion updates, and California PTE tax arbitrage. This structural rigor ensures your employee benefit framework drives talent retention while preserving maximum corporate liquidity.
