很多加州企业主创业初期,为了方便成立公司,都会选择以**独资企业(Sole Proprietorship**开始经营。

一开始觉得手续简单、成本低,也不用成立公司。

但随着营业额越来越高、员工越来越多、客户越来越大,独资企业反而开始成为许多老板最大的经营风险。

除了税负越来越重之外,一旦发生客户纠纷、员工诉讼、合约争议,企业债务与个人资产之间几乎没有隔离,房产、存款甚至个人资产,都可能受到影响。

「公司规模还不大,不需要成立 LLC。」
